Montreal, Quebec / TheNewswire / October 9, 2018 – Les Services DMDConnects inc./DMDConnects Services Inc. (formerly DMD Digital Health Connections Group Inc.) ("DMD") (NEX: DMG.H) announced today that the TSX Venture Exchange (the "TSX-V") has approved its application to voluntarily de-list the Corporation’s common shares (the "Shares") from the NEX Board of the TSX-V (the "De-Listing"). The Shares will stop trading on the NEX as of the close of business on October 9, 2018 (the "Effective Date").
The De-Listing results from the completion of a going private transaction of DMD by the way of an arrangement (the "Arrangement") pursuant to which 10653365 Canada Inc., a company controlled by insiders of DMD, acquired all of the issued and outstanding common shares of DMD by way of amalgamation.
After the Effective Date, DMD intends to apply to the regulatory authorities in British Columbia, Alberta, Manitoba, Ontario and Quebec to cease to be a reporting issuer in those jurisdictions. Once its reporting issuer status is revoked in each of those provinces, DMD would cease to be a public company and revert to privately-held status.
For more information on the De-Listing and the privatization generally, see DMD’s circular dated August 27, 2018, available at www.sedar.com.
